Your use of this Website, or any other services or content provided through the Website or Mobile Software, shall be deemed to constitute your consent to be legally bound by the terms and conditions of the Agreement, which shall be enforceable in the same way as if you had signed the Agreement. If you are not willing to accept the terms and conditions in the Agreement, we ask that you not access or use the Website or post or submit any materials on it.

We reserve the right to refuse or terminate access to the Website at our discretion. The Website is provided free of charge and on that basis we have no obligation to provide any maintenance or support services in relation to them and we are not responsible for any loss or damage you may suffer as a result of any failure to maintain or update the Website.
You may not copy, change or reuse the Website, any updates to them or any part of them including the software incorporated in them.
You may use this Website only for lawful purposes and in accordance with these Terms of Use. You are granted a nonexclusive, non transferable, revocable, limited license to view, print and distribute content retrieved from the Website for your personal, noncommercial purposes, provided that you do not remove or obscure the copyright notice or other notices displayed on the content. We reserve all rights not expressly granted to you.
Your Account and Password
When you first register to use the Website you may be prompted to create a password. You must keep your password secret and not give it to anyone else or let them use your account. You must not use anyone else’s password or account. You must inform us immediately if you suspect any unauthorized use of or access to your password or account. We will not be responsible if you suffer any harm or loss because you do not keep your password secret, if you let someone else use your account, if you use someone else’s password or account, or if you become aware of or suspect unauthorized use of your password or account but do not tell us promptly.
Privacy and Consent to Use Data

You represent and warrant that you own or control all rights in and to the User Contributions and have the right to grant BaldOver and its affiliates the license granted above. You represent and warrant that all of your User Contributions do and will comply with these Terms of Use, and you agree to defend, indemnify and hold harmless BaldOver and its affiliates and licensors for any breach of that representation and warranty. All User Contributions that do not comply with these Terms of Use and Content Standards may be expelled from and refused access to the Interactive Services going forward.
BaldOver or its designated agents reserves the right to remove or alter any User Contribution at any time for any reason or no reason. You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not BaldOver, have full responsibility for such content, including its legality, reliability, accuracy and appropriateness. Any content and/or opinions uploaded, expressed or submitted to the Website, and all articles and responses to questions and other content, other than the content provided by BaldOver, are solely the opinions and the responsibility of the person or entity submitting them and do not necessarily reflect the opinion of BaldOver. We are not responsible, or liable to any third party, for the content or accuracy of any materials posted by you or any other user of the Website. It is the policy of BaldOver to terminate the user accounts of repeat infringers. We have the right to:
- Remove or refuse to post any User Contributions for any or no reason in our sole discretion.
- Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion if we believe that such User Contribution violates the Terms of Use, including the Content Standards, infringes any intellectual property right or other right, threatens the personal safety of users of the Website and the public or could create liability for BaldOver.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity of anyone posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS BALDOVER FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY BALDOVER DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER BALDOVER OR LAW ENFORCEMENT AUTHORITIES. You agree to indemnify and hold harmless BaldOver and its affiliates and their respective directors, officers, employees, agents, or other representatives from and against all claims, liability, damages and expenses, including without limitation all legal fees and costs arising from or relating to (a) your breach of these Terms of Use; (b) your use of this Website including without limitation transmission or placement of information or material by you on this Website; and (c) any claim or allegation that any of your User Content infringes the intellectual property or other proprietary rights, or privacy rights, of any third party.
Trademark Notices
The trademarks and brand names displayed on this Website are the property of BaldOver, its affiliates or third party owners. You may not use or display any trademarks or service marks owned by the BaldOver without our prior written consent. You may not use or display any other trademarks or service marks displayed on this Website without the permission of their owners.
Arbitration Agreement
Please read this section carefully. Except as the Terms & Conditions otherwise provide, you waive your rights to try any claim in court before a judge or jury and to bring or participate in any class, collective, or other representative action.
Agreement to Binding Arbitration
You and BaldOver (the “parties”) agree that in the event of any claim, dispute, or controversy (whether in contract, tort, statute, or otherwise) arising out of, relating to, or connected in any way with (1) the site or (2) the breach, enforcement, interpretation, application, or validity of these Terms of Use, such claim, dispute or controversy will be resolved exclusively by final and binding arbitration (the “Arbitration Agreement”).
Exceptions to Arbitration
Notwithstanding the foregoing, in lieu of arbitration: (1) either you or BaldOver can bring an individual claim in small claims court in the United States of America consistent with any applicable jurisdictional and monetary limits that may apply, provided that it is brought and maintained as an individual claim; and (2) you agree that you or BaldOver may bring suit in court seeking an injunction or other equitable relief arising out of or relating to the infringement or other misuse of a party’s intellectual property, or any illegal or intentional act affecting the accessibility, functionality, or the security of the Site.
Jury Trial & Class Action Waiver
Except as the Terms of Use otherwise provide, you and BaldOver acknowledge and agree that you are each waiving the right to a trial by jury. The parties further agree that any arbitration shall be conducted in their individual capacities and not as a class action or other representative action, and the parties expressly waive their right to file a class action or seek relief on a class basis. You and BaldOver may not be plaintiffs or class members in any purported class, collective, or representative proceeding, and may each bring claims against the other only in your or its individual capacity. The arbitrator may award declaratory or injunctive relief only on an individual basis and only to the extent necessary to provide relief warranted by the individual claim.
If any court or arbitrator determines that any term in the immediately preceding paragraph is unenforceable for any reason as to any claim, then the Arbitration Agreement will be inapplicable only to that claim, and that claim will instead proceed through litigation in court rather than by arbitration, but only after the conclusion of the arbitration of any claim or dispute that is subject to the Arbitration Agreement.
Governing Law & Arbitration Rules
The Arbitration Agreement evidences a transaction in interstate commerce and thus the Federal Arbitration Act, 9 U.S.C. § 1 et seq. (“FAA”), will govern the interpretation and enforcement of this section. If the FAA is found not to apply to any issue that arises under this section or the enforcement of the Arbitration Agreement, then that issue shall be resolved under the laws of the State of Illinois.
The arbitration will be conducted under the then current and applicable rules of the American Arbitration Association (“AAA”).
Initiating Arbitration
If you intend to seek arbitration you must first send a written notice (“Notice”), by first class or certified mail to BaldOver. If BaldOver intends to seek arbitration, BaldOver will send a Notice to the current billing address on your account. The Notice must describe the nature and basis of the claim and the specific relief sought. If the parties cannot reach an agreement within 30 days from the receipt of the Notice, either party may initiate arbitration proceedings.
A form to initiate arbitration proceedings is available on the AAA site at www.adr.org. In addition to filing this form with the AAA, the party initiating the arbitration must mail a copy of the completed form to the opposing party. You may send such copy to BaldOver, and BaldOver will send such copy to the current billing address on your account or to your attorney, if you have retained one. The AAA rules will govern all filing, administration, and arbitrator fees (collectively, “Filing Fees”).
Location & Procedure
The arbitrator will conduct hearings, if any, by teleconference or videoconference, rather than by personal appearances, unless the arbitrator determines upon request by you or by us that an in-person hearing is appropriate. Any in-person appearances will be held at a location that is reasonably convenient to both parties with due consideration of their ability to travel and other pertinent circumstances. If the parties are unable to agree on a location, such determination should be made by the AAA rules or arbitrator.
Arbitrator’s Decision
The arbitrator’s decision shall be controlled by these Terms of Use and any of the other agreements referenced herein that you may have entered into in connection with the Site. In addition, the arbitrator shall apply Illinois law consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law; and in the event the AAA is unavailable or unwilling to hear the Dispute, you and the applicable BaldOver entity(ies) shall agree to, or a court shall select, another arbitration provider.
The arbitrator’s award shall be written, and binding on the parties and may be entered as a judgment in any court of competent jurisdiction. If you prevail in arbitration you will be entitled to an award of attorneys’ fees and expenses, to the extent provided under applicable law. BaldOver waives its right to seek attorneys’ fees and costs in arbitration.
Choice of Law, Forum Selection, & Jury Waiver
Except as set forth in the Arbitration Agreement section above, all matters relating to your access to or use of the site and all matters arising out of or related to these Terms of Use, will be governed by the applicable laws of the United States of America and the laws of the State of Illinois, without regard to conflict of law principles. Unless you and BaldOver agree otherwise, in the event that it is determined or these Terms of Use provide that a claim should not proceed through arbitration, you agree that any claim or dispute shall be resolved in the United States District Court for the Northern District of Illinois, and you submit to the personal jurisdiction of that court. If subject matter jurisdiction (including diversity jurisdiction) does not exist in the United States District Court for the Northern District of Illinois for any such claim, then the exclusive forum and venue for any such action shall be the courts of the State of Illinois located in Cook County, and you submit to the personal jurisdiction of that court. As to any proceeding in court, you and BaldOver both waive your right to a jury trial, unless such waiver is unenforceable.
The choice-of-law and forum-selection provisions in this section do not apply to the Arbitration Agreement or to any arbitrable disputes as provided by the Arbitration Agreement section. Instead, as provided in the Arbitration Agreement section, the FAA shall apply to any such disputes.
Assignment
You may not assign these Terms of Use, or any rights, benefits, or obligations hereunder, by operation of law or otherwise, without the express written permission of BaldOver. Any attempted assignment that does not comply with these Terms of Use shall be null and void. BaldOver may assign these Terms of Use, in whole or in part, to any third-party in its sole discretion.
Modification or Suspension of the Website
We will make reasonable efforts to make the Website available but we may from time to time need to interrupt, restrict, modify or discontinue, temporarily or permanently the Website or parts of it without notice. We will not be responsible for any harm or loss you may suffer as a result of such actions.
Termination
We may at any time terminate your use of or access to the Website and may delete any or all of your User Content without prior notice if we have a good reason to do so which includes any breach by you of these Terms of Use and the Content Standards. We will not be responsible for any loss or harm you may suffer as a result of termination of your use of the Website in these circumstances. In the event of any termination you must stop using the Website and you agree that the provisions of the Agreement regarding Ownership, Trademark Notices, Indemnification, Disclaimer of Warranties, Limitations of Liability, and Applicable Law shall survive any such termination.
